Technology giant Microsoft says it has offered to acquire internet media company Yahoo Inc for $US44.6 billion ($A49.86 billion) in cash and stock.

Microsoft said it had offered to buy Yahoo for $US31 per share, which it said represented a 62 per cent premium above the company's closing stock price on Nasdaq on Thursday.

"We have great respect for Yahoo, and together we can offer an increasingly exciting set of solutions for consumers, publishers and advertisers while becoming better positioned to compete in the online services market," Microsoft Chief Executive Steve Ballmer said in a statement.

Yahoo was not immediately available for comment.

Microsoft said it had identified four areas that would generate at least $US1 billion in annual synergies for the combined entity.

may be this is an effort to merge the world's biggest software co with a major Internet player to take on Google.

In my opinion, Yahoo has to take this offer. The only way for Microsoft to beat Google is to buy Google, and that won't be happening.

Actually Yahoo has the capability to beat Google , but it seems to be slacking and did not do much recently whereas Google has bought over sites like blogger and youtube which are some of the top sites in the internet.
